Article I
Name
The
name of this organization shall be the North Texas Philosophical
Association.
Article II
Purpose
It
shall be the purpose of this Association to (a) promote philosophical
dialogue and inquiry, (b) to stimulate interest and to improve
the quality of the teaching of philosophy in colleges and universities
in North Texas.
Article III
Membership
Section 1. Regular member. Any faculty member of a
college or university who regularly teaches philosophy or any
other person who in the judgment of the Executive Committee
has made significant contributions to philosophy through research
or writing. Dues shall be prescribed in the by-laws.
Section
2. Associate member. A graduate or undergraduate student
who has sincere interest in philosophy or any faculty member
of a college or university regularly teaching in a field other
than philosophy. Dues shall be prescribed in the by-laws.
Section
3. Senior member. Any retired person who has a sincere
interest in philosophy or any retired faculty of a college or
university who regularly taught philosophy or any other person
who in the judgment of the Executive Committee has made significant
contributions to philosophy through research or writing. Dues
shall be prescribed in the by-laws.
Section
4. New member. Any person eligible for membership shall
become a member upon approval of a simple majority of the members
present and voting at any business meeting upon payment of dues.
Section
5. Institutional affiliate. Any institution may become
an institutional affiliate of the Association subject to the
approval of the Executive Committee. Dues shall be prescribed
in the by-laws.
Section 6. Withdrawal from membership. A regular or
associate or senior member resigns from membership by (a) making
written request to the Treasurer, or (b) ceasing to pay dues
for two consecutive years.
Section
7. Voting. All members shall have the right to vote
on all issues coming before the Association except changes in
the Constitution.
Article IV
Organization
The
officers of this organization shall be the President, Vice President,
Secretary, Treasurer, and one Executive Committee Member-at-Large.
These officers together with the immediate past president shall
constitute the Executive Committee which shall also serve as
the Program Committee. Only Regular members shall be eligible
for office.
Article V
Meetings
The
Association shall hold at least one meeting each year in the
Spring, at a time and place to be determined by the President.
Article VI
Constitutional Amendments
Proposed
amendments may be submitted in writing to the Association at
any regular meeting and shall be acted upon at the next following
meeting. Ratification shall be by two-thirds majority of the
regular members present and voting subject to the quorum proviso
stated in the by-laws.
Article VII
By-Laws
By-Laws
may be enacted or amended by a simple majority of those elected
members, including regular, associate, and senior, present and
voting provided such enactments are consistent with other provisions
of this constitution.
By-Law I
Membership
Membership
shall extend from the Spring meeting to the next Spring meeting.
Annual membership dues are ten dollars ($10.00) for regular
members, five dollars ($5.00) for associate and senior members,
and fifty dollars ($50.00) for institutional affiliates.
By-Law II
Quorum
A
quorum for the meetings of the Executive Committee shall be
a simply majority of its members. Business meetings may be conducted
at any regular meeting of the Association provided a quorum
is present. A quorum shall consist of the members present and
voting providing this is at least twenty percent of the total
membership of the Association.
By-Law III
Election of Officers
Officers
shall be elected at the Spring meeting and shall hold office
until the next Spring meeting. Officers shall be elected from
the floor.
In
case any office becomes vacant for whatever reason, the Executive
Committee shall my majority vote fill that office.
It
shall be the duties of the President to (a)
preside at the meetings of both the Executive Committee and
the Association, (b) to execute the decisions of the Executive
Committee and the Association in accord with the provisions
of this Constitution and these By-laws, (c) to arrange the date,
time, and place of the meetings of the Association, and (d)
to deliver at least one Presidential address to the Association
during the President's term of office.
It
shall be the duties of the Vice President to
(a) preside in the President's absence at meetings of both the
Executive Committee and the Association, (b) execute whatever
other assignments the President of the Executive Committee may
give him in accord with the provisions of this constitution
and these by-laws, and (c) to arrange the logistics for each
general Association meeting (e.g. reserving rooms. securing
refreshments. providing programs. name tags. etc.).
It
shall be the duties of the Secretary to (a)
keep the minutes of meetings of the Executive Committee and
the Association, (b) send out the call for papers/participants
prior to each meeting, and (c) facilitate communication and
correspondence among the membership.
It
shall be the duties of the Treasurer to (a)
keep accurate records of the membership funds of the organization,
(b) collect membership dues, (c) make whatever expenditures
are authorized by the Executive Committee, and (d) make periodic
membership and financial reports as required by the Executive
Committee.
